1. Acceptance of Terms
By accessing or using the Auto Deal Network platform ("ADN," "the Service"), you agree to be bound by these Terms of Service. If you do not agree, you may not access the Service. These Terms constitute a legally binding agreement between you and Auto Deal Network LLC ("Company," "we," "us").

2. Authorized Use / Professional Tool
ADN is a professional broker quoting tool intended solely for licensed automotive brokers and industry professionals. Access is granted on a subscription basis. You may not share, resell, sublicense, or redistribute your login credentials or access to the platform. Each subscription is for a single authorized user.

3. Lease Program Data
Payment calculations, money factors, residual values, incentives, and program data displayed within ADN are derived from third-party sources and captive lender publications. While we make reasonable efforts to maintain accuracy, Auto Deal Network LLC makes no warranty, express or implied, as to the accuracy, completeness, or timeliness of any program data. All figures must be independently verified with the applicable lender or captive before presenting to any customer. ADN is a calculation and research tool, not a source of official lender program data.

4. No Financial or Legal Advice
Nothing within ADN constitutes financial, legal, or lending advice. Payments generated by the platform are estimates only. Auto Deal Network LLC is not a lender, broker-dealer, or financial institution. All lease transactions must be completed through properly licensed entities.

5. Confidentiality
The ADN platform, its features, pricing tools, program data, and user interface are proprietary and confidential. You agree not to reproduce, distribute, screenshot for competitive purposes, reverse engineer, or otherwise disclose the platform's functionality or data to any third party without prior written consent from Auto Deal Network LLC.

6. Subscription & Payment
Access to ADN requires an active paid subscription. Subscriptions are billed monthly. Auto Deal Network LLC reserves the right to suspend or terminate access for non-payment, violation of these Terms, or any other reason at its sole discretion. No refunds are provided for partial billing periods.

7. Prohibited Conduct
You agree not to: (a) share login credentials with any other person; (b) use ADN to build or assist a competing product; (c) attempt to scrape, copy, or extract program data in bulk; (d) use the platform in any manner that violates applicable federal, state, or local law; or (e) interfere with the security or integrity of the platform.

8. Intellectual Property
All content, features, design, code, and data within ADN are the exclusive property of Auto Deal Network LLC and are protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest in the platform.

9. Limitation of Liability
To the maximum extent permitted by law, Auto Deal Network LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to errors in payment calculations, program data inaccuracies, or service interruptions. Our total liability to you shall not exceed the amount paid by you in the 30 days preceding the claim.

10. Indemnification
You agree to indemnify and hold harmless Auto Deal Network LLC and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the platform, your violation of these Terms, or your breach of any applicable law.

11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in New York County, New York.

12. Modifications
Auto Deal Network LLC reserves the right to modify these Terms at any time. Continued use of the platform following notice of changes constitutes acceptance of the revised Terms.
